Throughout these Terms, the following words carry the meanings set out below:
- "Agreement" means these Terms and Conditions, together with any Service Agreement or engagement letter signed between you and Sahabat.
- "Sahabat", "we", "us", or "our" refers to Sahabat Business Consulting, operating from No. 19, Jalan Pudu, 55100 Kuala Lumpur, Malaysia.
- "You" or "User" means any individual or business that visits our website or engages our services.
- "Service" means any advisory, consulting, or review engagement provided by Sahabat, including A Helping Hand, Shared Review, and Standing-By Partnership.
- "Website" means our website accessible at sahabatmys.live.
- "Content" means any text, documents, written summaries, reports, or materials produced by Sahabat in connection with a Service.
2. Acceptance of Terms
By accessing our Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Website or engage our Services.
You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging on behalf of a business, you confirm that you are authorised to bind that business to these Terms.
Engagement of our Services — whether by signing an engagement letter, making a payment, or confirming by email — also constitutes acceptance of these Terms.
3. Service Description
Sahabat provides independent business advisory and consulting services to small business owners in Malaysia. Our Services are designed to offer genuine, practical support and honest guidance suited to your situation.
Our current Service offerings are:
- A Helping Hand — a single working session with a short written summary and next steps (RM 700).
- Shared Review — a five-week engagement including a full business review, two sessions, a written summary, and a follow-up (RM 1,900).
- Standing-By Partnership — a six-month advisory relationship with monthly sessions, quarterly reviews, and responsive support (RM 3,380).
Services are delivered primarily in Malaysia and are conducted in English or Bahasa Malaysia as agreed. We reserve the right to decline an engagement if, in our honest assessment, we are not well placed to help.
4. User Responsibilities
To make our work together as useful as possible, you agree to:
- Provide accurate and complete information about your business and situation.
- Attend scheduled sessions punctually or give reasonable advance notice of any need to reschedule.
- Keep any login credentials or access to our Website secure and not share them with others.
- Use our Website and Content for lawful purposes only.
You agree not to:
- Use our Website or Services for any unlawful purpose or in a manner that violates applicable Malaysian law.
- Attempt to gain unauthorised access to any part of our systems or disrupt service to other users.
- Copy, reproduce, or distribute our Content without our written consent.
- Misrepresent yourself or provide false information in connection with our Services.
5. Intellectual Property
All Content on our Website — including text, design, layout, and branding — is the property of Sahabat or its licensors and is protected under Malaysian copyright and intellectual property law.
Any written summaries, reports, or materials we produce for you as part of a Service are provided for your own business use. You may not resell, redistribute, or present them as your own work to third parties without our prior written consent.
We retain the right to reference the nature of our engagement (without disclosing your confidential information) for the purpose of describing our services to prospective clients, unless you ask us in writing not to do so.
6. Payment Terms
6.1 Fees and Currency
All fees are quoted and invoiced in Malaysian Ringgit (RM). The applicable fee for each Service is as stated in the engagement letter or confirmation we send you.
6.2 Payment Schedule
For A Helping Hand, full payment is due before the session date. For Shared Review and Standing-By Partnership, payment terms will be set out in the engagement letter. We typically request payment upon engagement confirmation.
6.3 Cancellation and Refunds
We understand that plans change. Our approach to cancellations is as follows:
- Cancellations made more than 48 hours before a scheduled session may be rescheduled at no charge.
- Cancellations within 48 hours of a scheduled session may not be eligible for a refund of that session fee.
- For multi-session engagements, fees for work already completed are not refundable, but we will discuss a fair resolution for uncompleted portions.
If you have any concern about a payment or would like to discuss your circumstances, please reach out to us directly. We would rather find a kind solution together than leave anyone with a poor experience.
7. Service-Specific Terms
7.1 Scope of Services
The scope of each engagement is as agreed in the engagement letter or email confirmation. Any additional sessions, reviews, or written materials beyond the agreed scope may be subject to additional fees, which we will always discuss with you before proceeding.
7.2 Confidentiality
We treat everything you share with us as confidential. We will not disclose your business information, financial details, or personal circumstances to any third party without your consent, except where required by law.
7.3 Scheduling and Availability
Sessions are scheduled by mutual agreement. We will do our best to accommodate your preferred times. Where a session cannot proceed due to circumstances beyond our control, we will reschedule at the earliest opportunity.
7.4 Nature of Advisory
Our Services constitute independent business advisory support. Decisions about how to act on any advice or guidance we offer remain entirely yours. We do not act as your legal, financial, or accounting advisors, and our guidance does not replace professional advice in those fields.
8. Disclaimers
Our Website and its content are provided on an "as is" basis. While we take care to keep information accurate and up to date, we make no representation that the Website is free from errors or always available.
Business advisory is an inherently uncertain discipline. While we bring our best care, experience, and honesty to every engagement, we cannot and do not offer any assurance of specific business outcomes. Results depend on many factors outside our control, including market conditions, your team, and your own decisions.
Nothing on our Website or in our materials constitutes legal, financial, tax, or accounting advice. Where those disciplines are relevant to your situation, we encourage you to consult a suitably qualified professional.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Sahabat's total liability to you in connection with any Service or use of the Website shall not exceed the total fees paid by you to Sahabat in the three months preceding the event giving rise to the claim.
We are not liable for indirect, consequential, incidental, or special losses, including lost profit, loss of business, or loss of data, even where we have been advised of the possibility of such losses.
Nothing in these Terms limits liability that cannot lawfully be excluded, including liability for fraud, death, or personal injury caused by our negligence.
10. Indemnification
You agree to indemnify and hold harmless Sahabat, its directors, and advisors from any claim, loss, liability, or expense (including reasonable legal costs) arising out of your breach of these Terms, your use of our Website, or any content or information you provide to us that is inaccurate or misleading.
11. Termination
Either party may terminate an ongoing engagement by giving the other party reasonable written notice. "Reasonable" in this context generally means at least 7 days for short engagements and 14 days for longer ones, unless both parties agree otherwise.
We reserve the right to discontinue Services or access to the Website if we reasonably believe these Terms have been materially breached. Where possible, we will raise concerns with you first and seek to resolve them amicably.
Provisions of these Terms that by their nature should continue after termination — including Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), and 12 (Dispute Resolution) — shall survive termination.
12. Dispute Resolution
12.1 Informal Resolution
If a concern arises, we would ask that you contact us first at [email protected]. We will make every effort to understand your situation and find a fair resolution without the need for formal proceedings.
12.2 Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia, including the Contracts Act 1950 and other applicable Malaysian legislation.
12.3 Jurisdiction
Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Malaysia, with Kuala Lumpur as the primary venue.
13. General Provisions
Entire Agreement. These Terms, together with any engagement letter or agreement, constitute the entire agreement between you and Sahabat relating to the subject matter herein.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver. Our failure to enforce any provision shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign our obligations to a suitably qualified successor.
Notices. Formal notices under these Terms should be sent by email to [email protected] or by post to our registered address.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, applicable law, or best practice. When we do, we will revise the "Last Updated" date above. For material changes, we will take reasonable steps to notify you, which may include a notice on our Website or an email to active clients.
Your continued use of our Website or Services after the updated Terms have been posted constitutes your acceptance of the revised Terms.
